ServiceChannel Supplement

By signing a Product Order Form with ServiceChannel.com, Inc., (“ServiceChannel”) covering any Accruent, LLC (“Accruent”) products or services described therein (“Accruent Products”), the customer named in such Product Order Form (“Customer”) agrees that the Product Order Form is governed by the terms and conditions of its existing Master Services Agreement or other similar binding agreement with ServiceChannel (“MSA”), as supplemented by this supplemental agreement (“Supplement”). Terms included but not defined herein have their respective meanings as set forth in the MSA. The parties agree as follows:

  1. Accruent Products & Rights. Accruent Products shall be considered Services under the MSA and, if they are cloud based, shall also be considered SaaS Services. All ownership, title and proprietary rights in and to Accruent Products shall reside with Accruent, and, as between Customer and Accruent, shall be considered ServiceChannel Content under the MSA.
  2. Support & Availability.  Support for Accruent Products, and availability for cloud based Accruent Products, is as set forth in the Accruent Support Policy available here: https://www.accruent.com/customer-support.
  3. Technology Partners. Customer acknowledges that certain Accruent Products may incorporate or integrate with technology provided by a third-party Accruent partner, including, software or hardware (e.g., sensors), provided to Customer on a pass-through, reseller or OEM basis, and any applicable updates or upgrades. Accruent may add and/or substitute functionally equivalent products for any partner technology. Accruent agrees to pass through to Customer any warranty rights granted to Accruent by the third-party partner.
  4. Wind-Down. Customer agrees that Accruent has no obligation to maintain Customer Data stored in Accruent Products for more than thirty (30) days following expiration or termination of the Product Order Form covering such Accruent Products. Customer may access and download data stored in Accruent Products during the Product Order Form term on a self-service basis.
  5. Data Protection. To the extent applicable, Accruent’s data protection addendum (“DPA”) is available for your review here: https://www.accruent.com/data-protection-addendum.
  6. Miscellaneous. In the event of any conflict between the terms of the MSA and the terms of this Supplement, the terms of this Supplement will take priority with respect to the Accruent Products.
